Please read these terms of use carefully before using our services.

1. Overview & Acceptance

These Terms of Use ("Terms") are a binding agreement between Journey Rewards Inc. ("Journey," "we," "our," or "us") and any person or entity that accesses or uses our websites, mobile applications, and related services (collectively, the "Services").

ARBITRATION NOTICE: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SECTION 20 BELOW, AND UNLESS YOU OPT OUT AS PROVIDED IN THAT SECTION, YOU AGREE THAT DISPUTES BETWEEN YOU AND JOURNEY WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO BRING OR RESOLVE ANY DISPUTE AS, OR PARTICIPATE IN, A CLASS, CONSOLIDATED, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR ARBITRATION.

By accessing or using the Services, you agree to these Terms. If you also enroll in the Journey Rewards loyalty program, that participation is governed by the separate Journey Rewards Loyalty Program Terms, incorporated here by reference. You further acknowledge and agree to our Privacy Policy as stated.

These Terms also apply to Alliance Partners (e.g., properties and operators who participate in the Journey alliance) and their Partner Users (staff who access the Services to list, manage, or fulfill stays), to the extent they use any public or partner-facing component of the Services. Partner-specific commercial terms are set out in your partner agreement or addendum (the "Alliance Agreement"); if there is a conflict with these Terms, the Alliance Agreement controls for the partner relationship.

2. Key Definitions

Alliance Partner: Any third party (e.g., hotel, vacation rental, experience provider) that participates in the Journey alliance or otherwise offers inventory or services via the Services.

Partner User: An Alliance Partner's employee, contractor, or agent using the Services on the partner's behalf.

Host Property: An Alliance Partner location at which a stay or service occurs.

Booking: A reservation or purchase completed through the Services or via links/flows we enable, whether finalized on Journey or on a partner or property system.

Member: A user enrolled in the Journey Rewards program (see separate program terms).

Transaction: A payment made through the Services for goods or services offered by Journey, a Host Property, or a third-party merchant.

3. Relationship Between You, Journey, and Host Properties

3.1 Journey is a platform and at times acts as a concierge or introducer of services, not the seller of travel or the seller of services directly. Each Booking or Transaction is a separate transaction between you and the applicable Alliance Partner (or its merchant of record). Property house rules, cancellation terms, and fees apply and are shown at checkout or within the booking flow. Journey does not control Alliance Partners or Host Properties and is not responsible for their acts, omissions, or the quality or safety of their offerings.

3.2 Alliance Partners are independent entities; they may impose additional terms for their services. It is your responsibility to review them.

4. Accounts & Eligibility

4.1 You must be at least the age of majority in your place of residence and capable of entering a binding contract. You must be at least 18 years of age in the United States.

4.2 You agree to provide accurate information and to keep your account secure; you are responsible for activity that occurs under your credentials. User accounts may not be shared or used by more than one individual. If you cannot access your account, it is your responsibility to notify Journey at legal@journey.com.

4.3 We may suspend or terminate accounts (including Partner User accounts) for suspected fraud, misuse, policy or law violations, or non-payment.

4.4 Sanctions & Export Compliance. You may not use the Services or enroll in the Program if you are subject to trade or economic sanctions, or in a jurisdiction where such use is prohibited by law. You represent and warrant that: (a) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist-supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties, including the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. You also agree that you will not use the Services for any purposes prohibited by United States law.

4.5 Verification; Audit. Journey may request identification or additional verification, limit or suspend access, or cancel transactions where fraud, abuse, or policy violations are suspected. You authorize Journey to conduct fraud screening and to share necessary data with payment partners and Host Properties for this purpose.

4.6 Profile Content. If you establish a user account, you may be asked to supply a profile photo or other content. Any profile photo you submit: (a) must be your original work; (b) must not infringe third-party rights, including copyright, trademark, or rights of publicity or privacy; (c) must be suitable for use on the platform and may not be violent, offensive, illegal, obscene, or otherwise inappropriate as determined by Journey in its sole discretion; and (d) may not contain third-party logos, trademarks, or any content that represents Journey in a manner inconsistent with our brand standards.

5. Acceptable Use

You may not: (a) scrape, crawl, or harvest the Services by means of any automated program, electronic agent, or "bot"; (b) bypass access controls; (c) reverse engineer source code; (d) upload malware, infringing, or illegal content; (e) book speculatively or for resale; (f) misrepresent identity or affiliation; (g) use the Services in violation of sanctions or export rules; (h) "frame" the Services or cause their contents to appear as if provided by anyone other than Journey; (i) introduce any virus or disruptive code into the Services; (j) sublicense, assign, translate, rent, lease, or redistribute access to the Services to others; or (k) otherwise act in a fraudulent, illegal, malicious, or negligent manner when using the Services.

6. Content & IP

The Services and all content are protected by intellectual property laws. Subject to these Terms, Journey grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes (or, for Partner Users, solely to support your Alliance Partner's participation). All rights not expressly granted are reserved. The copyrights in all text, images, and other materials provided through the Services are owned by Journey and/or third parties, and may not be copied, distributed, displayed, downloaded, or transmitted in any form without prior written permission.

7. User Content; Reviews; Feedback

You grant Journey a worldwide, royalty-free license to host, display, reproduce, and adapt any content you submit (e.g., reviews, photos, or feedback) for operating and improving the Services. Do not submit content you do not have rights to or that violates law or privacy. We may moderate or remove content at our discretion.

8. Usage Data

Journey may collect and aggregate data about your usage of the Services. Journey is the sole owner of such aggregated and anonymized usage information. This data may be used to improve products, provide services, develop analytics, and for other lawful purposes. Any use of personal data is governed by our Privacy Policy.

9. AI + Human Concierge & Beta Features

Where available, the Services may include an AI-assisted concierge combined with human support. Recommendations may be incomplete, out of date, or dependent on partner confirmations. Always verify critical details (e.g., accessibility, pet rules, child policies) with the Host Property before travel. Journey does not guarantee the accuracy of AI-generated content or recommendations.

10. Bookings; Pricing; Taxes; Fees; Currency

10.1 Pricing and availability originate from Host Properties and can change until confirmed. Errors may occur; we may cancel and refund obvious mistakes or mispriced listings.

10.2 Payments are processed by Journey or third-party processors and partners on behalf of the Host Property, as indicated in the booking flow. You authorize charges for the amounts shown, including applicable taxes, resort fees, cleaning fees, and any post-stay charges permitted by the property rules.

10.3 Accepted Payment Methods. We accept major credit and debit cards including Visa(R), Mastercard(R), American Express(R), and other methods as indicated at checkout. Accepted payment methods are subject to change at any time. To use payment features, you must register a valid payment method and provide current, accurate, and complete billing information.

10.4 Authorization. You authorize Journey to confirm that your payment method is valid, including by submitting a payment authorization request. Any temporary authorization hold shown on your account will be removed if the transaction does not complete. You authorize Journey to submit your payment information to our third-party payment service providers for the purpose of processing Transactions.

10.5 Scheduled Payments. For any payment features that allow scheduling of future payments, you acknowledge that the amount and date of the Transaction may be subject to change based on the requirements of the applicable merchant or third-party service provider.

10.6 Currency. Display currency is for convenience; settlement may occur in another currency. Foreign exchange rates are determined by processors or partners at the time of charge or posting.

10.7 Chargebacks. You agree to cooperate in good faith to resolve issues with Journey and the Host Property prior to initiating a chargeback. Journey may share transaction records and stay validations with processors and card networks to contest improper chargebacks.

10.8 Partner Exit. If an Alliance Partner ceases participation or withdraws inventory after a Booking is made, Journey will use reasonable efforts to re-accommodate or refund amounts Journey processed. Journey does not guarantee honor of the original rate, benefits, or awards by a former partner.

10.9 Overbooking. If a Host Property cannot honor a confirmed Booking, the Host Property is responsible for remedies under its policies. Journey will use reasonable efforts to assist with alternative options but is not the guarantor of accommodation or compensation.

10.10 Third-Party Content & Errors. Rates, availability, descriptions, and policies are provided by Host Properties or third parties and may contain errors. Journey may correct errors, cancel impacted Bookings, and process refunds it controls; Journey is not liable for third-party acts, omissions, or inaccuracies.

10.11 Payment Modifications. We reserve the right to update, modify, suspend, or discontinue any part of the payment features at any time. Payment features may not be available during maintenance or other outage periods.

11. Partner Terms; Partner Users

11.1 Partner Terms. Alliance Partners agree to comply with their Alliance Agreement and with these Terms when using the Services.

11.2 Partner Users. Your employer is responsible for your access; we may share your usage data with your employer for fraud prevention and support. You must use the Services only for legitimate business needs, and you must handle guest data in compliance with applicable privacy laws.

12. Access to Third-Party Sites and Services

The Services may provide access to third-party websites, services, and experiences (collectively, "External Services"). You agree to use External Services at your sole risk. Journey is not responsible for examining or evaluating the content or accuracy of any External Services and shall not be liable for any such services. Data displayed by External Services is for general informational purposes only. External Services may not be available in all languages or jurisdictions. Journey reserves the right to change, suspend, or remove access to External Services at any time without notice or liability.

13. Privacy; EULA; Additional Policies

Your use of the Services is subject to our Privacy Policy and, where applicable, our End User License Agreement (EULA) for apps. Links to these documents are provided within the Services. Personal information transmitted to Journey will be treated in accordance with our Privacy Policy. Journey may collect technical data about your device and software to facilitate updates, product support, and service improvements.

14. Geographic Availability

The Services are operated from the United States. Journey makes no representation that the Services or content are appropriate or available for use in all jurisdictions. Access from jurisdictions where such access is illegal is strictly prohibited. Journey is not authorized to do business in every jurisdiction, and Services or features may not be available in your country or region. If you choose to access the Services from outside the United States, you do so at your own risk and are responsible for compliance with applicable local laws.

15. Suspension & Termination

We may suspend or terminate all or part of the Services (or your access) at any time, with or without notice, including for maintenance, security, legal compliance, or policy reasons.

16. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." Journey disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. Journey is not responsible for third-party services, properties, or outages.

General Release. To the extent permitted by applicable law, you agree to release Journey from all claims and liabilities, known and unknown, arising out of or related to the Services. If you are a California resident, you expressly waive the benefits of California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You also waive any similar protections under the laws of any other state or jurisdiction.

17. Limitation of Liability

To the fullest extent permitted by law, Journey's total liability for claims arising out of or related to the Services will not exceed the greater of (a) US$100 or (b) the amounts you paid to Journey for the Service giving rise to the claim in the 3 months before the first event giving rise to liability. Journey is not liable for indirect, special, incidental, exemplary, or consequential damages of any kind.

18. Indemnity

You agree to defend, indemnify, and hold harmless Journey and its affiliates from claims arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

19. Changes to the Services or Terms

We may modify the Services and these Terms at any time. Material changes will be notified in-app, by email, or on our website. Your continued use after the effective date constitutes acceptance of the revised Terms.

20. Governing Law; Dispute Resolution

Governing Law. Unless prohibited by law where you reside, these Terms are governed by the laws of the State of New York (without regard to conflict of law principles), excluding the United Nations Convention on the International Sale of Goods. You agree to submit to the exclusive jurisdiction of the state and federal courts located in New York, New York for any claims or disputes not subject to arbitration. EU/EEA/Swiss Residents: If you are a resident of a European Union country, the European Economic Area, Switzerland, Norway, or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence.

Arbitration & Class Action Waiver. Except for claims for injunctive or other equitable relief, any dispute or controversy arising out of or relating to these Terms or the Services - including disputes in tort, contract, or statute - shall be resolved by final and binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures then in effect, pursuant to the Federal Arbitration Act. The arbitration shall be conducted by a single independent and impartial arbitrator. If the parties fail to agree on an arbitrator within twenty (20) calendar days after initiation of arbitration, JAMS shall make the appointment. The arbitration shall take place in New York, New York, or at the election of the party seeking relief, by telephone, online, or written submission. The arbitration shall be conducted in English. The arbitrator's decision will be final and binding, and judgment on any award may be entered in any court of competent jurisdiction. There shall be no right or authority for any claims to be arbitrated on a class action, class-wide, collective, consolidated, or representative basis. All arbitration proceedings and awards shall be kept confidential. The arbitrator shall award all fees and expenses, including reasonable attorneys' fees, to the prevailing party. Either party may seek injunctive or other equitable relief from a court of competent jurisdiction to protect intellectual property or confidential information, and such request shall not be deemed incompatible with the agreement to arbitrate.

Arbitration Opt-Out. You may opt out of the agreement to arbitrate by mailing a written opt-out notice ("Notice") to Journey Rewards Inc., Attn: Legal Department, 447 Broadway, 2nd Floor, Suite 2661, New York, NY 10013. The Notice must be postmarked no later than thirty (30) days after the date you first accept these Terms. This procedure is the only mechanism by which you can opt out of the agreement to arbitrate. Opting out has no effect on any other provision of these Terms.

Consumer Carve-Outs. If you are a consumer, the provisions of these Terms are intended to be only as broad and inclusive as is permitted by the laws of your state or country of residence. Nothing in these Terms limits or waives any rights you may have under applicable mandatory consumer protection laws.

Force Majeure. Journey and Alliance Partners are excused from liability for delay or failure to perform caused by events beyond reasonable control, including acts of God, natural disasters, epidemics, pandemics, labor disputes, government actions, utility or telecom failures, or third-party platform outages. In such cases, Journey's sole obligation is, where Journey is the merchant of record, to refund any amounts it holds for unperformed Services; Journey is not liable for incidental or consequential costs (e.g., rebooking, transport).

21. Miscellaneous

If any provision is found to be invalid or unenforceable, the remainder of these Terms remains in full force and effect. We may assign these Terms in whole or in part; you may not assign without our consent. Headings are for convenience only and do not affect interpretation. The English version of these Terms controls in the event of any conflict with a translated version. These Terms, together with the Privacy Policy and any applicable loyalty program terms or Alliance Agreement, constitute the complete and exclusive agreement between you and Journey and supersede all prior agreements or communications relating to the subject matter hereof.
